Success Fee: A success fee will be due and payable to the Advisor upon the closing of a Loan and/or investor equity Transaction, calculated as follows: 5.0% of the gross capital raised. The fee is considered earned upon the closing of an EXIM and/or EDC Loan and/or equity Transaction, regardless of whether it occurs during or after the Term of the Agreement, provided the lender/investor was introduced by the Advisor during the Term of the Agreement. The Retainer Fee will be deducted from the Success Fee
